Responsibilities

Reporting to the General Counsel, Corporate Counsel is responsible for providing legal advice and support to business areas and members of management relating to government, commercial and licensing agreements, research and development, business alliances and intellectual property issues. Corporate Counsel shall provide legal support for all facets of the business including transactional work with customers and partners and for internal company functions. Corporate Counsel shall be responsible for mentoring junior attorneys.

 

ESSENTIAL FUNCTIONS:

  • Draft, review, and negotiate various agreements, including commercial contracts, technology agreements and sponsored research agreements.
  • Assist with the development of various business transaction forms and templates.
  • Analyze regulatory and other legal issues affecting the business.
  • Work closely with the General Counsel and business team on execution of business and intellectual property strategy and structuring of transactions.

Qualifications

PROFESSIONAL EXPERIENCE:

 

Must have experience with government contracts, including the Federal Acquisition Regulation (FAR) and Department of Defense FAR Supplement (DFARS) and government rights in technical data and copyrights. Experience working with technology businesses is essential. Experience with intellectual property law protection and technology license agreement is preferred.

 

BUSINESS & PERSONAL QUALIFICATIONS:                   

 

  • Familiarity with intellectual property protection and license agreements.
  • Superior verbal and written communication skills and ability to identify and present all pertinent aspects of legal information to senior management.
  • Experience in client counseling and a client service focus, capable of interacting with and providing guidance to a wide range of people and personalities.
  • A practical, roll-up-the-shirt-sleeves, hands-on approach to the practice of law.
  • Must be self-motivated, energetic and proactive. A focus on responsiveness and excellent work product is required. Ability to handle and set priorities for multiple projects with minimal supervision and have a willingness to work on matters in a variety of legal areas.
  • Must possess a collaborative, team-player attitude.
  • Must demonstrate effective leadership skills and the ability to think strategically, create innovative solutions, and problem solve effectively and efficiently.
  • Ability and willingness to be cleared to the Top Secret (SCI) level.

 

 

EDUCATION & PROFESSIONAL QUALIFICATIONS:

 

  • Must be an active member of the Massachusetts Bar.
  • Minimum of seven years of experience with a law firm, the federal government, or an in-house legal department, or a combination thereof.
